Terms of Service
1. Who we are and what this covers
These terms are an agreement between you (the business or person creating an account) and Ahmad Hamra Badawi, an individual based in Tripoli, Lebanon, trading as Coodrop ("Coodrop", "we", "us"). Coodrop is software for managing deliveries: creating and assigning jobs, tracking drivers on a live map, optimizing routes, sharing tracking links with your customers, and related tools, through our website, web app and driver app.
By creating an account, or by continuing to use Coodrop, you agree to these terms and to our Privacy Policy.
2. Your account
You must use Coodrop for business purposes and be old enough to make a binding agreement where you live. You are responsible for your login, for the people you invite (dispatchers, analysts and drivers), and for everything done under your account. Tell us promptly if you think someone has gained access without permission.
3. Plans, deliveries and billing
Coodrop is sold as a subscription, billed monthly or yearly, on the plans and prices shown on our website and on the Billing page. Each plan includes a number of deliveries per month. A delivery is a single stop or a drop-off; pickups and cancelled jobs are not counted.
A new subscription starts with a free trial (currently 14 days, with a card required and a smaller delivery allowance). Unless you cancel before the trial ends, or choose to start your plan early, your card is charged when it ends. Subscriptions then renew automatically at the end of each billing period until you cancel.
If you need more deliveries than your plan includes, you can buy extra deliveries in packs. They are used after your monthly allowance and expire twelve months after purchase.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles payment, invoices, sales tax and refunds, and provides customer service for payment questions. When you buy, Paddle's Buyer Terms also apply.
You can cancel at any time from the Billing page; your plan then continues until the end of the period you have paid for, and you are not charged again. Prices exclude taxes, which are added at checkout where required. We will give at least 30 days' notice of a price change.
You can ask for a full refund of any payment within 14 days of being charged, for any reason. Our Refund Policy explains how.
4. Payments between you and your customers
If you add a payment link so your customers can pay for a delivery, they pay you directly through the payment provider you chose. We are not a party to those payments and never hold that money. Your use of that provider is governed by its own terms.
5. Your data and your responsibilities
You own the data you put into Coodrop: jobs, addresses, recipient details, notes, photos, and information about your drivers. You give us permission to process it only to run the service for you. For personal data about your customers and drivers, you decide why and how it is used and we process it on your behalf, as described in our Privacy Policy.
You are responsible for having the right to use that data in Coodrop, for telling your drivers and customers what is collected (including that driver location is recorded while they are on shift and shown to your dispatchers, and to a customer on their tracking link while their delivery is under way), and for following the laws that apply to your business, including employment, privacy and transport rules. If you turn on WhatsApp or email updates to your customers, you confirm that they have agreed to receive them, and you are responsible for stopping them if they ask.
6. Acceptable use
Do not use Coodrop for anything unlawful or fraudulent, to infringe anyone's intellectual property or other rights, to harm or harass others, to send spam, to probe, attack or interfere with the security of the service, to reverse engineer it, or to overload it. Plans with unlimited drivers are for genuine use by your own business and are subject to reasonable fair use. We may limit or suspend access that puts the service or other customers at risk.
7. Our intellectual property
Coodrop, including its software, apps, design, name and logo, belongs to us. Your subscription gives you the right to use it for your business while the subscription lasts; it does not transfer any ownership. If you send us feedback or ideas, we may use them freely.
8. Third-party services
Coodrop relies on other services, including map data and address lookup from OpenStreetMap contributors, payment processing by Paddle, and hosting and security providers. We do our best to keep these working but are not responsible for their outages or changes.
9. The service
We work to keep Coodrop available and accurate, but it is provided "as is", and we don't guarantee that it will be uninterrupted or error-free. Positions, arrival times and route suggestions are estimates that depend on data from devices and third parties, and you remain responsible for your delivery decisions. We may improve, change or retire features, and will give notice of changes that significantly reduce what you are paying for.
10. Suspension and ending this agreement
You can stop using Coodrop and cancel at any time. We may suspend or end your account for a serious or repeated breach of these terms, for non-payment, or where your account puts the security of the service or other people at risk, with notice where reasonable. After your account ends you can export your data for 30 days; after that we may delete it.
11. Liability
To the extent the law allows, we are not liable for indirect or consequential losses, lost profits, or lost data, and our total liability for anything arising from the service is limited to the fees you paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.
12. Changes, law and contact
We may update these terms. If a change matters, we will tell you before it takes effect and ask you to agree again. These terms are governed by the laws of Lebanon, and disputes will be handled by the courts of Tripoli, Lebanon. This does not take away any rights you have under the laws of your own country that cannot be waived.
